1.2. Independent Contractor Status: The user and contractor explicitly recognize and agree that DAS APP by OpenCleanUp LLC acts exclusively as a logistical and technological facilitator. Service providers act at all times as Independent Contractors and not as employees or agents of OpenCleanup LLC.
1.3. Purpose of the Site: The Site provides information regarding our software solutions, contact channels, corporate resources, and commercial access linked to our digital services.
2 Intellectual Property
2.1. Proprietary Content: All content hosted on this Site, including, without limitation, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and source code, is the exclusive property of OpenCleanup LLC or its content providers and is protected by United States and international copyright and intellectual property laws.
2.2. Trademarks: Trademarks, trade names, and logos (such as DAS App and OpenCleanup) used on this Site may not be used in connection with any product or service that is not the Company's, in any manner that is likely to cause confusion among users, or in any manner that disparages or discredits OpenCleanup LLC.
3 Mandatory Requirement: Certificate of Insurance (COI)
To operate within the DAS APP by OpenCleanUp LLC platform, it is strictly mandatory that the service provider (individual or legal entity) maintains an active General Liability insurance policy at all times.
- COI Upload and Validation: The Certificate of Insurance (COI) must be uploaded to and validated in the portal prior to the assignment and execution of any shift, work order, or physical facility access.
- Coverage Limits: The insurance policy must cover property damage, bodily injury, and general civil liability in strict compliance with the legal minimums established in the State of Florida.
- Automated System Lockout: The platform automatically suspends and disables shift assignments, dispatch notifications, and electronic lockbox opening codes if the insurance policy expires, lapses, or fails verification criteria.
- Workers' Compensation (Workers' Comp): Contractors must comply with all applicable State of Florida labor standards. In the event the contractor holds an official exemption, a valid and current certificate of election to be exempt must be submitted and kept up to date.
4 Risk Mitigation Protocol: Digital Photographic Evidence
In order to prevent fraudulent claims, damage disputes, or controversies regarding the condition of customer facilities, DAS APP by OpenCleanUp LLC enforces the following mandatory protocol:
- Mandatory Photographic Documentation: It is mandatory for service providers to capture timestamped and geotagged photographs of the initial and final condition of all critical work areas before beginning and upon completing each shift.
- Immediate Incident Reporting: Any pre-existing damage, breakages, or irregularities observed upon arrival must be reported immediately through the app before starting operations. The failure to document pre-existing conditions shifts the presumption of legal and operational liability directly to the on-duty service provider.
5 Smart Keybox 3, Manufacturer Technical Disclaimer
5.1. Independent Manufacturer: The Smart Keybox 3 hardware is manufactured, controlled, and firmware-updated exclusively by Igloohome Inc. OpenCleanup LLC is neither the manufacturer nor the exclusive distributor of the physical hardware or its internal proprietary firmware.
5.2. Exclusion of Hardware Warranties: OpenCleanup LLC assumes no liability for mechanical failures, physical wear and tear, dead batteries, improper installation or tampering, local Bluetooth connection failures, or external server disruptions affecting Igloohome.
- Third-Party Service Interruptions: OpenCleanup LLC is not responsible for operational delays or code synchronization failures caused by maintenance windows or API outages originating from igloohome infrastructure.
- User Custody & Key Security: The account holder is solely responsible for secure physical mounting and anchoring of the keybox, passcode rotation, and safe custody of the physical keys placed inside.
5.3. Express Acceptance: By activating, leasing, renting, or linking a Smart Keybox 3 within the platform, the user explicitly accepts all terms of this technical hardware disclaimer.
6 Payments, Subscriptions, and Rentals Policy (Non-Refundable)
6.1. Software Subscriptions: All fees corresponding to subscription plans, software licenses, or platform memberships are strictly non-refundable. No refunds or credits will be issued for unused days, early cancellations, or failure to utilize the technological services.
6.2. Device and Equipment Rentals (Keyboxes / Lockboxes): Recurring payments or fees associated with the rental of access control devices, hardware, or key management boxes administered through the platform are 100% non-refundable. Upon termination or cancellation of the rental, the user is required to return the equipment within the established deadlines, without entitling the user to any refund of previously paid rental installments.
7 Permitted Use of the Site and Platform
The User agrees to use this Site exclusively for lawful purposes and in accordance with these Terms. It is strictly prohibited to:
- Use the Site in any way that violates any applicable federal, state, or local law or regulation in the United States (including the laws of the State of Florida).
- Attempt to gain unauthorized access to servers, databases, or computer systems supporting this Site.
- Intentionally introduce viruses, trojans, worms, or other malicious or technologically harmful material.
- Reproduce, duplicate, copy, sell, or resell any part of the Site without express written consent from OpenCleanup LLC.

9.2. Exclusion of Indirect Damages: Under no circumstances shall DAS APP by OpenCleanUp LLC be liable for indirect, incidental, punitive, special, or consequential damages arising from interactions between clients and service providers, operational delays, or the use of physical hardware.
9.3. Strict Financial Cap: To the maximum extent permitted by applicable law in the State of Florida, the maximum total liability of OpenCleanup LLC for any claim arising out of or related to this agreement or the platform shall be strictly limited to the amount of software subscription fees actually paid by the user in the thirty (30) days immediately preceding the event giving rise to liability.
10 Indemnification and Release of Liability
The service provider and user agree to defend, indemnify, and hold harmless DAS APP by OpenCleanUp LLC, its directors, officers, employees, partners, and developers from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Property damage to customer premises or third-party facilities occurring during or in connection with the provision of cleaning services.
- Workplace accidents, bodily injuries, or medical claims suffered by contractor personnel or assigned workers.
- Failure to comply with occupational safety rules, environmental requirements, or municipal/state regulatory standards.
- The User's or contractor's misuse of the Site, unauthorized access, or violation of any clause set forth in these Terms.
11 Class Action Waiver and Mandatory Arbitration
11.1. Dispute Resolution: Any controversy, claim, or legal dispute arising out of or related to the use of this Site, subscriptions, equipment rentals, or these Terms and Conditions shall be resolved exclusively through binding individual arbitration, and not in court before a judge or jury.
11.2. Class Action Waiver: The User agrees that class actions, joint claims, or consolidated/representative proceedings are not permitted. The User expressly waives the right to initiate, join, or participate as a plaintiff or class member in any class action lawsuit against OpenCleanup LLC or DAS App in any legal or arbitral forum.
12 Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States, without giving effect to any principles of conflicts of law. Any permitted legal dispute, judicial action, or arbitration proceeding shall be conducted exclusively in the competent courts located within the State of Florida (Palm Beach / Boynton Beach area).
